A guarantee was dated 17 April 1974, but the evidence showed that it had actually been signed on 16 November 1973.

The document was stamped approximately five months late, and the required RM25 penalty had not been paid. As a result, the lower courts treated the guarantee as inadmissible.

However, the Federal Court clarified an important legal distinction: inadmissibility does not always mean invalidity.

The Federal Court held that the guarantee remained valid. As it was an ordinary guarantee, rather than one of the special instruments subject to an absolute prohibition, the court could impound it and admit it after the applicable duty and penalty had been paid.

The appeal was allowed, the guarantee was impounded, and judgment was entered for the bank.

However, both parties were ordered to bear their own costs because the stamp-duty issue had been mishandled from the beginning.

The key takeaway is straightforward: a document may remain legally valid, yet be unusable in court until the relevant stamping requirements have been satisfied.

There are also three special instruments to remember: a bill of exchange, a cheque and a promissory note. These must be stamped before or at the time of execution. For these instruments, relying on “I’ll fix it later” may be too late.

Tax documents do not become less important simply because the stamp is small.

上诉获准,担保书被扣押,法院并为银行作出判决。

不过,由于印花税问题从一开始便处理不当,双方须各自承担诉讼费用。

这起案件的重点很简单:一份文件在法律上可能仍然存在效力,但在完成相关盖印要求之前,仍无法在法庭上使用。

此外,也必须记住三种特殊文书:汇票、支票及承付票。这些文书必须在签署之前或签署时加盖印花。对于这些文书而言,“之后再补办”可能已经太迟。

税务文件的重要性不会因为印花很小而降低。
